The board members of the Awbrey Butte Neighborhood Association had a corporate meeting on March 26, 2006, at Liz O’Connell’s personal residence.
Board members Present: Rodney P. Mock, Leslie Conley, Liz O’Connell, Jennifer Salari, Jim Swarm and Tom Stump. Ian Wotherspoon was not present. There were a sufficient number of board members to constitute a quorum to take company action.
Matters Discussed:
- Status of non-profit association incorporation – The board members agreed that the incorporation of Awbrey Butte Neighborhood Association as a public benefit corporation was to continue. Member Liz O’Connell is working on the particulars with her attorney regarding its incorporation.
- Approval of Corporation Bylaws – The board members reviewed the Bylaws and submitted their final comment on the Bylaws and approved the Bylaws in their present form subject to certain comments concerning the Bylaws that were documented on the draft Bylaws. The board members hereby approve said Bylaws.
- Admission of new member – The Association admitted a new member as part of the corporation, that member being Tom Stump. The board members welcome Tom Stump as a board member of the non-profit corporation. Tom has a considerable amount of experience in other neighborhood associations and with the fire department that will assist the corporation.
- Election of officers – The board members have not yet elected officers. However, we’ll convene in the next meeting and elect officers with substantially similar positions to what the board members were before the Association was incorporated.
- Membership report and general meeting – Member Jennifer Salari gave a report regarding the admission of new members into the non-profit corporation. The board members decided that there was going to be a general meeting and that the general meeting was going to be kept relatively simple because it will be outdoors. At this point, the particulars of the meeting were not agreed upon. However, it was agreed that the meeting was to be simple in its process, most likely the meeting will be on Sunday in a park. Certain major issues will be briefly discussed. A tentative date of June 4th was set, and at this point there is no park that was chosen. Jennifer Salari will report back to the board members at the next meeting regarding the specifics of the general meeting. The board members agreed that the voluntary donations from the other board members would be accepted in order to facilitate the purchase of food items for the general meeting. The board members informally agreed that the amount contributed should not exceed $30 to $40. With regard to mailings and door-to-door solicitation of membership, board member Jim Swarm stated that the city fire department will do a mailing for us so long as they are able to submit their fire-free brochure with said mailing. The board members unanimously agreed that they were willing to allow the city fire department to pick up the cost of mailing. Leslie Conley agreed to draft a letter for the general mailing.
- Traffic and safety report – Jim Swarm gave a report to the board members regarding traffic and safety. He stated that he has been attending certain traffic and safety committees and that his impression of the City of Bend is that they have a grand plan to address traffic issues in the future and no immediate plans to resolve traffic issues. Other organizations such as Windermere Park have submitted reports regarding traffic issues, and the City has not taken any action on said reports.
- Land use issues – Board member Rodney Mock gave a brief report on land use issues. He provided the other board members with information regarding an application with the City Planning Department for a new park that is being planned within Awbrey Butte Neighborhood Association boundaries near Wild Rye Circle. The applicant is Brooks Resources Corporation. The described project is the development of a park, including picnic areas, a single tennis court, restrooms and a common lot. The board members reviewed the application.
